Introduction: These Terms of Use for all Users govern your use of The Buhnanuh Club and your agreement with us.

Interpretation: In these Terms of Use:

  • We refer to our website as "The Buhnanuh Club," including when accessed via the URL www.buhnanuh.com
  • References to "we," "our," and "us" are references to The Buhnanuh Club, the operator of the website.
  • "Content" means any material uploaded to The Buhnanuh Club by any User (whether a Creator or a Fan), including photos, videos, audio (e.g., music and other sounds), livestream material, data, text (such as comments and hashtags), metadata, images, interactive features, emojis, GIFs, memes, and any other material whatsoever.
  • "Creator" means a User who has set up their Buhnanuh Club account as a Creator account to post Content on The Buhnanuh Club to be viewed by other Users.
  • "Fan" means a User who follows a Creator and is able to view the Creator's Content.
  • "Fan/Creator Transaction" means any transaction between a Fan and a Creator on The Buhnanuh Club by which access is granted to the Creator's Content, including in any of the following ways: (i) a Subscription, (ii) payments made by a Fan to view a Creator's pay-per-view Content (pay-per-view media and pay-per-view live stream), and (iii) use by the Fan of the fan interaction function on a Creator's account.
  • "Fan Payment" means any and all payments made by a Fan to a Creator (i) in connection with a Fan/Creator Transaction, or (ii) by way of a tip for a Creator.
  • "Referring User" means a User who participates in The Buhnanuh Club Referral Program.
  • "Standard Contract between Fan and Creator" means the terms which govern each Fan/Creator Transaction, which can be found here.
  • "Subscription" means a Fan's subscription to a Creator's account (whether paid or unpaid, and whether for one month or as part of a bundle comprising a subscription for more than one month).
  • "Terms of Use" (also called "your agreement with us") means the legally binding agreement between you and us which consists of: (i) these Terms of Use for all Users, (ii) Terms of Use for Fans, (iii) Terms of Use for Creators, (iv) Privacy Policy, (v) Acceptable Use Policy, (vi) Referral Program Terms, (vii) Complaints Policy, (viii) Platform to Business Regulation Terms, and (ix) Community Guidelines.
  • "United Kingdom" means the United Kingdom of Great Britain and Northern Ireland.
  • "User" means any user of The Buhnanuh Club, whether a Creator, a Fan, or both (also referred to as "you" or "your").

How We May Change the Terms of Service

We may change any part of the Terms of Service without prior notice under the following circumstances:

 

  • To reflect changes in laws and regulatory requirements that apply to The Buhnanuh Club and its services, features, and programs, where such changes necessitate immediate updates to our terms.
  • To address unforeseen and imminent dangers related to protecting The Buhnanuh Club, Fans, or Creators from fraud, malware, spam, data breaches, or other cybersecurity risks.

We may also make other changes to any part of the Terms of Service and will provide you with reasonable notice of such changes by email or through The Buhnanuh Club. You may contact us to end your agreement with us before the changes take effect. Once any updated Terms of Service are in effect, your continued use of The Buhnanuh Club signifies your acceptance of the changes.

 

Changes to or Suspension of The Buhnanuh Club

We may update and change The Buhnanuh Club from time to time for various reasons, including to reflect changes in our services, Users' needs, business practices, improve performance, enhance functionality, or address security issues. We will try to give reasonable notice of any major changes. We do not guarantee that The Buhnanuh Club or any Content on it will always be available or accessible without interruption. We may suspend, withdraw, or restrict the availability of all or any part of The Buhnanuh Club for business or operational reasons and will try to give you reasonable notice if it affects you.

 

Registering with The Buhnanuh Club

To use The Buhnanuh Club, you must be +18 years of age or older. You must provide a valid email address, username, and password or authenticate using a valid Twitter or Google account. Your password must be unique and comply with the technical requirements of The Buhnanuh Club site for password composition. To register as a User:

  • You must be at least 18 years old and confirm this.
  • If the laws of your country or state/province require you to be older than 18 to be legally bound by a contract, you must meet that age requirement.
  • You must be permitted by the laws of your country or state/province to join The Buhnanuh Club, view any Content available on it, and use any provided functionality.
  • You must provide any additional information or verification records as required.

If you do not meet these requirements, you must not access or use The Buhnanuh Club.

 

Your Commitments to Us

When you register and use The Buhnanuh Club, you make the following commitments:

  • If you previously had an account with The Buhnanuh Club, you confirm it was not terminated or suspended due to a violation of our terms or policies.
  • All information submitted to us must be truthful, accurate, and complete.
  • You will promptly update any of your information as and when it changes.
  • You consent to receiving communications from us electronically, including emails and messages posted to your account, and to the processing of your personal data as detailed in our Privacy Policy.
  • You will keep your account/login details confidential and secure and not disclose them to anyone else. You will contact support@buhnanuh.com promptly if you believe someone is using your account without your permission or if your account has been subject to any other security breach. You also agree to log out at the end of each session and be particularly careful when accessing your account from a public or shared computer.
  • You are responsible for all activity on your account, even if someone else uses it contrary to the Terms of Service.
  • You will comply fully with these Terms of Use for all Users, our Acceptable Use Policy, and all other applicable parts of the Terms of Service.

 

Rights We Have, Including to Suspend or Terminate Your Account

We may moderate or review any of your Content to verify compliance with the Terms of Service and applicable laws. We may suspend access to any Content we become aware of that may not comply with the Terms of Service or applicable laws while we investigate. If we suspend access to your Content, you may request a review by contacting us at support@buhnanuh.com. We may reinstate access to the Content, permanently remove, or disable access to it without needing to obtain your consent or give prior notice. You agree to provide all reasonable assistance in our investigation at your own cost. We are not responsible for any loss suffered due to the suspension of access to your Content or other investigatory steps.

 

We reserve the right to terminate your agreement with us and your access to The Buhnanuh Club for any reason by giving you 30 days' notice via email or electronic message to your account. We may also suspend access to your account or terminate your agreement immediately and without prior notice if:

 

  • You have or may have seriously or repeatedly breached any part of the Terms of Service, or
  • You take any action that has caused or is reasonably likely to cause us to suffer a loss or harm the reputation of The Buhnanuh Club.

 

If we suspend or terminate your account, we will notify you. During any suspension, any payments due will be suspended, and we may withhold all or any part of your earnings. Upon termination, we may deal with your Content in any appropriate manner in accordance with our Privacy Policy, and you will no longer be entitled to access it. There is no facility to access your Content after account termination.

 

We may investigate any suspected or alleged misuse, abuse, or unlawful use of The Buhnanuh Club and cooperate with law enforcement agencies in such investigations. We may disclose any information or records about your use of The Buhnanuh Club to law enforcement in connection with any investigation of illegal activity, to protect our rights or legal interests, or in response to legal processes.

 

We may change third-party payment providers and will notify you if we do so, storing applicable details on your account. Other than Content owned by Creators, all rights in The Buhnanuh Club and its contents are owned by us or our licensors and protected by copyright, trademarks, trade secrets, and other intellectual property laws. We are the sole owners of anonymized data related to your use of The Buhnanuh Club, which can be used for any purpose.

 

What We Are Not Responsible For

We will use reasonable care and skill in providing The Buhnanuh Club, but we are not responsible for:

  • Granting you any rights in relation to Content, which can only be granted by Creators.
  • You being identified from your Content by individuals. We do not guarantee the accuracy or effectiveness of geofencing or geolocation technology.
  • Reviewing or moderating Content, which is the responsibility of Users. Users meaning Creators and Club Members or Fans.
  • Following any suggestions, comments, reviews, or instructions from other Users.
  • Promises or guarantees of earnings from using The Buhnanuh Club.
  • The accuracy or otherwise of materials accessible on The Buhnanuh Club.
  • Compatibility of The Buhnanuh Club with all devices and operating systems.
  • Availability of the internet, errors in connections, devices, or software related to using The Buhnanuh Club.
  • Ensuring The Buhnanuh Club is secure and free from bugs and viruses, as we have no control over Content supplied by Creators.
  • Lost, stolen, or compromised User accounts, passwords, email accounts, or unauthorized activities or payments.
  • Use or distribution of your Content by other Users or third parties once posted on The Buhnanuh Club.

 

Intellectual Property Rights – Ownership and Licenses

You confirm ownership of all intellectual property rights in your Content or have obtained necessary rights to grant licenses in respect of your Content. You grant us a license to perform any act restricted by intellectual property rights in your Content for purposes related to The Buhnanuh Club's operation. This includes reproduction, communication, display, performance, distribution, translation, and creating adaptations or derivative works.

The license you grant us is perpetual, non-exclusive, worldwide, royalty-free, sub-licensable, assignable, and transferable. This license continues after your agreement with us ends and allows us to add stickers, text, watermarks, and make your Content available to other Users. We will not sell your Content to other platforms but may sell or transfer the license in the event of a company sale.

You waive any moral rights to object to derogatory treatment of your Content, allowing us to add watermarks, stickers, or text. This waiver does not affect your ownership of intellectual property rights in your Content or rights to prevent unauthorized copying.

Twitter Integration:

  • Feature Description: Users can connect their Twitter account to their Buhnanuh Club account to share Content from Buhnanuh Club to Twitter.
  • Compliance: Users must comply with Twitter's terms of service for any Content shared through this feature.

Linking to and from Buhnanuh Club:

Links to Buhnanuh Club:

  • Permitted Actions: Users can link to the Buhnanuh Club homepage if done fairly, legally, and without damaging Buhnanuh Club's reputation or suggesting false endorsements.
  • Creator Promotion: Creators must follow Buhnanuh Club's Terms of Service and the terms of other websites when promoting their accounts. Creators cannot impersonate Buhnanuh Club or suggest Buhnanuh Club's endorsement unless true. They are prohibited from promoting their Buhnanuh Club accounts using Google Ads or similar platforms.

Links from Buhnanuh Club:

  • Third-Party Links: Links to third-party sites from Buhnanuh Club are for convenience. Buhnanuh Club does not endorse these sites and has no control over their content, thus disclaims responsibility for any resulting loss or damage. Access to third-party websites is at the user's own risk and subject to those sites' terms and conditions.

Domain Names:

  • Use of Buhnanuh Club Trademark:
    • Creators may register or use domain names containing the Buhnanuh Club trademark or similar terms under certain conditions:
      • The domain name must be registered by the Creator.
      • It must redirect to the Creator’s Buhnanuh Club profile and not to any other website, including link aggregators.
      • The Creator must obtain prior written permission from Buhnanuh Club and sign a licensing agreement.
    • Violation: Failure to comply with these provisions or the licensing agreement may lead to a domain dispute filed by Buhnanuh Club against the registrant.

How to Delete Your Account on Buhnanuh Club

Account Deletion Process:

  • Location: To delete your Buhnanuh Club account, go to the 'User Account' section on www.buhnanuh.com

For Fans:

  • Timing: Your account will be deleted within a reasonable time after your request.

For Creators:

  • Your account will be deleted within a reasonable time after your request.

For Users Who Are Both Fans and Creators:

  • Two-Stage Deletion: Your account will be deleted in two stages: first, the Fan account, and then the Creator account.

After Deletion:

  • Charges and Access: Once your account is deleted, you will not be charged any further, nor will you have access to your former Buhnanuh Club account or its Content. 
  • Confirmation: You will receive an email confirmation once your account has been successfully deleted.
  • Content Handling: Post-deletion, we may handle your Content as per our Privacy Policy, including deletion. You will no longer have access to your Content, and there is no technical facility to retrieve your Content after account termination.

Liability and Responsibility for Loss or Damage

For All Users: At The Buhnanuh Club, we do not limit or exclude our liability where it would be unlawful to do so. This includes (i) liability for death or personal injury caused by our negligence or the negligence of our employees, agents, or subcontractors, and (ii) fraud or fraudulent misrepresentation.

For Consumer Users: If you are a consumer, please note the following:

  • The Buhnanuh Club, including its subsidiary companies, employees, owners, representatives, and agents, will not be liable for any loss of profit, business interruption, loss of revenue, loss of business opportunity, or anticipated savings resulting from your use of our services.
  • If you are a consumer residing in the United States, our total liability for any claims related to your agreement with us is capped at USD $250 per claim.

Liability for Business Users

For Business Users: By using The Buhnanuh Club’s services, you agree to the following terms:

  • Limitation of Implied Terms: We and our subsidiary companies, employees, owners, representatives, and agents exclude (to the extent permitted by law) all implied conditions, warranties, representations, or other terms that may apply to our services or any content on our platform. If the Terms of Service do not explicitly include a promise or commitment by us, it cannot be implied by law.
  • Foreseeable Loss or Damage: We are not responsible for any loss or damage that is not a foreseeable result of our breach of the Terms of Service or failure to exercise reasonable care and skill. Loss or damage is considered foreseeable if it is obvious that it will occur or if both parties knew it might happen at the time you agreed to the Terms of Service.
  • Exclusion of Liability: We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising from:
    • Your inability to use our services, features, or programs.
    • Your use of or reliance on any content stored on our platform.
  • Specific Exclusions: We will not be liable for:
    • Loss of profits, sales, business, or revenue.
    • Business interruption.
    • Loss of anticipated savings, business opportunity, goodwill, or reputation.
    • Loss of data or information, including any content.
    • Indirect or consequential loss or damage.
    • Loss or damage caused by distributed denial-of-service attacks, viruses, malware, ransomware, or other harmful materials affecting your computer equipment, programs, data, or proprietary material.
    • Copying, distributing, or reposting of your content by another user or third party.
    • Disclosure or publication of your personal information by other users or third parties without your consent.
    • Failure or delay in compliance with the Terms of Service due to events beyond our reasonable control. We will notify you as soon as possible and take steps to minimize the delay's impact.

 

  • Liability Cap: Our total liability to you for any claims arising out of or related to your agreement with us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the greater of:
    • 100% of the total fees paid by you to us in connection with your use of our services; and
    • USD $5,000.
